Biography

Nick Day is Senior Counsel with Miller Shah LLP in its New Jersey office.

Nick is a senior business lawyer, with over 23 years of experience practicing corporate law. He received his Bachelor of Arts from Duke University and his J.D., with honors, from Villanova University School of Law. Nick is a member of the American and New Jersey Bar Associations.

Nick’s experience in both private practice and as General Counsel to a number of companies allows him to bring a practical, client-oriented approach to his work. His corporate law background has focused on contract drafting and negotiation, mergers & acquisitions, corporate governance, financing, and securities law. He has represented companies in every growth phase, from high-tech start-ups to large public companies with operations all over the world. As General Counsel, in addition to his broad corporate law responsibilities, he has supervised insurance, safety and risk management, litigation, human resources, and a wide-range of legal, business and operational projects.

Nick has served as the General Counsel and Corporate Secretary to UniTek Global Services, Inc., a premier provider of installation, fulfillment and construction services to the telecommunications, cable and satellite television industries. He was responsible for all legal matters for UniTek, a public company with a workforce of over 5,000, 111 offices in the United States and Canada and sales over $300 million. Prior to joining UniTek, he was General Counsel and Secretary for Berliner Communications Inc., a public company providing construction, project management and network development to the wireless telecommunications industry. Nick has also served as Senior Corporate Counsel for Net2Phone, Inc., a Nasdaq-listed provider of voice over Internet protocol, or VoIP, telephony products, and was Associate General Counsel for WorldGate Communications, Inc., a Nasdaq-listed provider of interactive television and personal video telephony products and services. As a former in-house counsel responsible for managing million dollar budgets, Nick understands the need to provide clients with legal advice that fits with business objectives, and stays within the timelines and budgets that clients demand.

Nick began his career as a business attorney with the law firm of Saul Ewing, LLP, a 250 attorney law firm in Philadelphia, PA, where he practiced from September 1995 to August 2000. At Saul Ewing, he handled numerous mergers and acquisitions from both the buy and sell-side, and was securities counsel to firm clients in a variety of industries.
